1. Acceptance of Terms
By downloading, installing, or using Aina Adventures ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the App. These Terms constitute an agreement between you and Mana Voyage LLC, doing business as Aina Adventures ("Company," "we," "us," or "our").
2. Description of Service
Aina Adventures is a self-guided tour application covering all six major Hawaiian islands — O'ahu, Maui, the Big Island (Hawai'i Island), Kaua'i, Moloka'i, and Lāna'i — featuring AI-powered guide characters, interactive maps, itinerary planning, a digital passport and achievements system, and community photo/video sharing. The App is provided by Mana Voyage LLC, doing business as Aina Adventures.
3. Subscriptions, Billing, and Refunds
3a. Free and Premium Tiers
Aina Adventures offers a free trial that allows you to experience the app's features before committing to a subscription. Once the trial period ends, premium features will be locked and you will be prompted to subscribe. Premium features, including access to all AI guides and unlimited messaging, require a paid subscription — available as a monthly plan or at a discounted annual rate.
3b. Subscription Plans
- Monthly Subscription: Billed on a recurring monthly basis at the price displayed at the time of purchase.
- Annual Subscription: Billed on a recurring annual basis at the price displayed at the time of purchase, offering a discount compared to the monthly rate.
All prices are subject to change. Price changes will not affect active subscription periods but will apply upon renewal.
3c. Payment Processing
All payments are processed through the Apple App Store or Google Play Store, depending on your device. Mana Voyage LLC, doing business as Aina Adventures, does not directly collect or store your payment information. All billing inquiries, payment disputes, and transaction records are managed through your respective app store account.
3d. Free Trials
If a free trial is offered, your subscription will automatically convert to a paid subscription at the end of the trial period unless you cancel before the trial expires. You may cancel a free trial at any time through your app store account settings.
3e. Automatic Renewal and Cancellation
- Subscriptions automatically renew at the end of each billing period unless you cancel at least 24 hours before the renewal date.
- You may cancel your subscription at any time through your Apple App Store or Google Play Store account settings.
- Cancellation takes effect at the end of the current billing period. You will continue to have access to premium features until the end of your paid period.
- Deleting the App does not cancel your subscription. You must cancel through your app store account.
3f. Refunds
All sales are final. This includes subscriptions, single tours, island bundles, and the all-Hawaiʻi pass. Aina Adventures does not issue refunds directly; any refund request is handled by Apple or Google under their own policies (Apple: reportaproblem.apple.com; Google: Google Play Help). Tour purchases are a one-time license to use that content in the app and do not expire; included AI guide minutes are capped.
3g. Partner Business Subscriptions
This section applies only to Partner Businesses who list their tour, activity, restaurant, accommodation, or other Hawai'i-based business on Aina Adventures through the Partner Portal. It does not apply to consumer app users.
- Plans Offered: Partner Businesses may subscribe on a monthly or annual basis. Promotional plans, custom durations, and complimentary listings may be offered at the sole discretion of Mana Voyage LLC, doing business as Aina Adventures.
- Payment Methods: Partner subscriptions may be paid by credit/debit card (processed via Stripe), or by cash, check, Venmo, Zelle, or other arrangements recorded manually by Mana Voyage LLC, doing business as Aina Adventures.
- Cancellation — Your Right to Opt Out: You may cancel your Partner subscription at any time, for any reason, with no cancellation fee. You can cancel through your Partner Dashboard or by emailing us. We will not bill you again after you cancel.
- What Happens After You Cancel: Your business listing remains live in the Aina Adventures app through the end of the period you have already paid for. After that date, the listing may be hidden until you renew. You can resubscribe at any time and your listing will be restored.
- Refunds — Monthly Plans: Monthly Partner subscriptions are non-refundable for the current month, but cancellation prevents any future charges. You retain full access for the remainder of the month you paid for.
- Refunds — Annual Plans: Annual Partner subscriptions are non-refundable, but you may cancel at any time to prevent automatic renewal. Your listing remains live through the end of your paid year. We may, in our sole discretion, offer a pro-rated refund in cases of business closure or extenuating circumstances — contact us at aloha@aina-adventures.com.
- Failed Payments: If a recurring payment fails, your listing may be hidden until payment is updated. We will attempt to notify you by email before any listing change.
- Promotional and Manual Subscriptions: Promotional pricing and manually recorded subscriptions (cash, check, etc.) are non-refundable but may be canceled at any time to prevent future renewal.
- No Lock-In: There are no long-term contracts. You are never obligated to continue past the period you have paid for.
4. AI Guide Disclaimer
The App, including its AI guides, is provided for informational and entertainment purposes only. Artificial intelligence may make mistakes, and AI-generated or editorial content may be inaccurate, incomplete, or out of date. It is not professional advice and is not a substitute for road signs, barriers, ranger or emergency instructions, official closures, permit rules, weather forecasts, surf warnings, or your own judgment. Verify material information through official sources before acting on it.
5. User-Generated Content and Content Rights
Aina Adventures allows users to upload photos, videos, and other content ("User-Generated Content" or "UGC") to community galleries and other features within the App. By submitting or uploading any UGC, you agree to the following:
- Ownership: You retain full ownership of any content you create and upload to the App.
- License Grant: By uploading UGC, you grant Mana Voyage LLC, doing business as Aina Adventures, a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, and distribute your content in any media or format, including but not limited to marketing materials, social media channels, websites, promotional campaigns, advertisements, print media, and any other commercial or non-commercial purposes.
- Representations: You represent and warrant that you own or have the necessary rights, licenses, and permissions to grant the above license, and that your UGC does not violate any applicable laws, regulations, or third-party rights, including intellectual property rights, privacy rights, or publicity rights.
- Prohibited Content: You agree not to upload content that is illegal, defamatory, obscene, harassing, threatening, invasive of privacy, infringing on intellectual property, or otherwise objectionable. Content depicting minors without parental consent is strictly prohibited.
- Content Moderation: Mana Voyage LLC, doing business as Aina Adventures, reserves the right, but has no obligation, to review, monitor, edit, or remove any UGC at its sole discretion, for any reason, including but not limited to content that violates these Terms or is deemed inappropriate, without notice to you.
- No Compensation: You acknowledge that no compensation will be paid to you for the use of your UGC by Mana Voyage LLC, doing business as Aina Adventures, under the license granted herein.
- Indemnification: You agree to indemnify and hold harmless Mana Voyage LLC, doing business as Aina Adventures, from any claims, damages, or expenses arising from your UGC or your breach of these content rights provisions.
6. Acceptable Use
You agree not to:
- Use the App for any unlawful purpose
- Upload offensive, harmful, or misleading content
- Attempt to interfere with the App's functionality or security
- Use the App in a way that could endanger yourself or others
- Attempt to bypass subscription restrictions, usage limits, or other access controls
- Use automated systems, bots, or scripts to interact with the App or its AI features
- Reverse engineer, decompile, or disassemble any part of the App
7. Safety, Assumption of Risk, and User Responsibility
Travel, driving, hiking, ocean activity, and visiting natural or historic places involve inherent and changing risks, including traffic, rough or closed roads, falls, weather, wildfire, volcanic activity, surf, currents, wildlife, limited communications, and delayed emergency response. You voluntarily assume the risks associated with deciding to travel to or participate in activities described by the App.
You are responsible for deciding whether a route or activity is appropriate for you, your passengers, vehicle, skills, health, equipment, and current conditions. In particular, you agree to:
- Obey all laws, signs, barriers, closures, emergency instructions, and official guidance, even if the App says otherwise.
- Never operate or look at a phone while driving. A passenger should operate the App; if alone, stop and park legally before touching the device. Use audio only when it can be used hands-free without distraction.
- Check current road, trail, park, weather, surf, volcanic, wildfire, and emergency conditions with HDOT, NPS, County agencies, lifeguards, and other responsible authorities.
- Obtain required permits and reservations; obey rental-car agreements; and respect private property, cultural sites, residents, and access restrictions.
- Use only legal parking and safe public access. A map marker or narration cue does not establish a legal or safe destination.
The separate Safety & Content Policy is incorporated into these Terms by reference. Read it before using drive, guide, or en-route features.
8. Third-Party and Partner Listings
Business, activity, restaurant, lodging, and other partner listings are provided for discovery and convenience. A listing, offer, link, or promotional relationship is not a safety certification, guarantee, or endorsement by Mana Voyage LLC, doing business as Aina Adventures. Third parties are responsible for their own goods, services, representations, availability, and conduct. Review their terms, credentials, and current conditions before purchasing or participating.
9. Intellectual Property
All content, features, and functionality of Aina Adventures — including but not limited to the AI guide characters (Kaila, Asahi, Leilani, Koa), artwork, logos, text, graphics, software, and design — are owned by Mana Voyage LLC, doing business as Aina Adventures, and are protected by United States and international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the App without prior written consent from Mana Voyage LLC, doing business as Aina Adventures.
10. No Warranties and Limitation of Liability
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Mana Voyage LLC, doing business as Aina Adventures, DISCLAIMS WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT CONTENT, LOCATIONS, DIRECTIONS, ROAD OR TRAIL ACCESS, OCEAN CONDITIONS, OR AI OUTPUT WILL BE ACCURATE, CURRENT, COMPLETE, AVAILABLE, OR SAFE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Mana Voyage LLC, doing business as Aina Adventures, SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF Mana Voyage LLC, doing business as Aina Adventures, HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL THE TOTAL LIABILITY OF Mana Voyage LLC, doing business as Aina Adventures, TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE APP EXCEED THE AMOUNT YOU PAID TO Mana Voyage LLC, doing business as Aina Adventures, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. Some jurisdictions do not allow certain exclusions or limits, so some provisions may not apply to you.
11. Indemnification
To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Mana Voyage LLC, doing business as Aina Adventures, and its officers, directors, employees, agents, and affiliates from claims, liabilities, damages, losses, costs, and reasonable attorneys' fees arising from your unlawful or unsafe use of the App, your User-Generated Content, your violation of these Terms, or your violation of another person's rights.
12. Termination
Mana Voyage LLC, doing business as Aina Adventures, reserves the right to suspend or terminate your access to the App at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users of the App, us, or third parties, or for any other reason at our sole discretion. Upon termination, your right to use the App will immediately cease.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Hawai'i, United States, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the App shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, conducted in Honolulu, Hawai'i. The arbitrator's decision shall be final and binding.
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive your right to participate in a class action lawsuit or class-wide arbitration.
Notwithstanding the foregoing, either party may seek injunctive or equitable relief in the state or federal courts of Honolulu, Hawai'i, to protect intellectual property rights or prevent irreparable harm.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
15. Entire Agreement
These Terms, together with the Privacy Policy and Safety & Content Policy, constitute the entire agreement between you and Mana Voyage LLC, doing business as Aina Adventures, regarding the use of the App and supersede prior agreements and understandings about that use.
16. Changes to Terms
We reserve the right to modify these Terms of Service at any time. We will notify you of material changes by posting the updated Terms within the App and updating the "Last Updated" date above. Continued use of the App after changes constitutes acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the App.
